Diltron Lease Agreement

By checking the box below, you agree to the following:

Citouch is leasing one or more Diltron units for your business purposes.

The lease for the Diltrons will be a payment of $249.95

You will use the Diltrons in a careful and proper manner and the Diltrons will be used ONLY on the website www.vsex.com.

Citouch will provide the Diltrons to you with instructions for proper use and the Diltrons shall be delivered in working order.

Repairs/loss damage

You will be responsible for the Diltrons and will keep the Diltrons in a safe and secure area.

Indemnity

You will indemnify Citouch against, and hold Citouch harmless from, any and all product and use claims, actions, suits, proceedings, costs, expenses, damages and liabilities, including attorney's fees and costs, arising out of, connected with, or resulting from your or your performers‘ use of the Diltrons, including without limitation the manufacture, selection, delivery, possession, use, including operation and venue of operation.  You will ensure that you or your/performers comply with all laws governing the Internet and Adult Internet, including national, federal, provincial, state, local, etc. and any other laws whether they be at your location or at the location of presentation over the Internet and shall indemnify Citouch for any and all transgressions and shall hold Citouch harmless from any prosecution thereof.

Ownership

The Diltrons is, and shall at all times be and remain, the sole and exclusive property of Citouch; and you will have no right, title or interest therein or thereto except as expressly set forth in this Lease.

You will not assign this Lease or its interest in the Diltrons without the prior written consent of Citouch.

Governing Law

Any controversy or claim arising out of, or relating to, this Agreement, or the making, performance, or interpretation thereof, shall be settled in and by t6he laws of the State of New York.  The Parties further agree that a restraining order, injunction, writ of possession and/or writ of attachment may be applied for from a court of competent jurisdiction by any Party pending resolution of the dispute.
